COUNTRY-CARE PROGRAM PARTICIPATION AGREEMENT

This Participation Agreement contains the terms and conditions that apply to an individual's or entity's participation in the Country Supply COUNTRY-CARE Program. In this Agreement, "we" means PetsUnited, LLC, and "you" means a participant in the COUNTRY-CARE Program. Your participation in the COUNTRY-CARE Program is subject to your submission and Country Supply’s acceptance of a COUNTRY-CARE Code creation form (making you a "COUNTRY-CARE Code Creator") or your use of a COUNTRY-CARE Code during checkout (making you a "COUNTRY-CARE Code User") and your compliance with this Agreement.

TERMS AND CONDITIONS

By participating as a COUNTRY-CARE Code Creator or COUNTRY-CARE Code User, you signify your acceptance of these terms and conditions. If you do not agree to these terms and conditions, please do not participate in the COUNTRY-CARE Program or make use of a Country Supply COUNTRY-CARE Code. We reserve the right, at our discretion, to change, modify, add to or remove portions of these terms and conditions at any time.

You agree to receive notification of modifications to this Agreement via e-mail or the CountrySupply.com site. If you continue to use a Country Supply COUNTRY-CARE Code and/or participate in the COUNTRY-CARE Program following the posting of any changes to these terms and conditions, your continued use or participation will mean you accept these changes and agree to be bound by the new terms. Please check these terms and conditions periodically for changes. You can review the most current version of the terms and conditions at any time by clicking on the Terms and Conditions link at the bottom of the Create a COUNTRY-CARE Code web page on the CountrySupply.com site.

FUNDRAISING SERVICE DESCRIPTION

Country Supply offers the COUNTRY-CARE Program as a method of encouraging Users:

1. To purchase products at CountrySupply.com,
2. To tell other Users to purchase more often at CountrySupply.com and
3. To leverage horse owner’s collective purchasing power to benefit specific local, regional, or national nonprofit organization’s in need of additional monetary contributions to promote and assist the equine industry ("the Participating Organization").

This service may not be used to raise funds for any organization that Country Supply views, in its sole and absolute discretion, as non-family or non-equine friendly or as being offensive in any way or for any reason. Country Supply also reserves the right in Country Supply’s sole and absolute discretion and for any reason or no reason, including but not limited to incorporation of or promotion of content that is in any way unlawful, harmful, threatening, defamatory, obscene, harassing or racially, ethnically or otherwise objectionable, to terminate and/or prevent an Organization's use of the COUNTRY-CARE Code and/or to force the Organization to use an Country Supply approved COUNTRY-CARE Code name.

The three major steps for a Participating Organization to begin benefiting from the COUNTRY-CARE Program are as follows:

STEP 1) Create a COUNTRY-CARE Code
STEP 2) Purchase Products ONLINE Using a COUNTRY-CARE Code
STEP 3) Earn a Donation Check

These steps, and other terms and conditions, are described below:

STEP 1) CREATING A COUNTRY-CARE CODE

To enable the COUNTRY-CARE Program, the first step is for the COUNTRY-CARE Code Creator to use the online form provided on the CountrySupply.com site to obtain a CountrySupply.com COUNTRY-CARE Code that will be used to track which Participating Organization should receive a Donation Check for valid purchases at CountrySupply.com. Once created, your COUNTRY-CARE Code should be publicized to anyone who might be interested in making online horse equipment or horse related gift item purchases at the CountrySupply.com site and having a portion of those purchases donated to your Organization.

Ideally, your COUNTRY-CARE Code should be short, easy to spell and memorable. The most memorable COUNTRY-CARE Code is one that is related to the Organization (e.g., "SaveHorses" for your Equine Rescue group or "OSC" for "Ottumwa Saddle Club"). Each COUNTRY-CARE Code must be unique from any other previously created COUNTRY-CARE Code. If your desired COUNTRY-CARE Code is already in use by someone else, you can try a completely different word or phrase or simply add numbers to the one you've chosen to create a new, totally unique code (e.g. "OSC123").

COUNTRY-CARE Code Creators must be affiliated with the Organization and are responsible to their Organization for their actions in creating a COUNTRY-CARE Code. A COUNTRY-CARE Code should not:

1. Be confusingly similar to any other COUNTRY-CARE Code or nationally known Participating Organizations.
2. Be designed to cause donations to be directed to the wrong Organization, or
3. Include words that are non-family friendly or potentially offensive to other Users.

STEP 2) PURCHASING PRODUCTS ONLINE USING A COUNTRY-CARE CODE

To start using the COUNTRY-CARE Program, the second step is for a COUNTRY-CARE Program User to purchase products on the CountrSupply.com website and enter the COUNTRY-CARE Code during the checkout process at the CountrySupply.com site. No COUNTRY-CARE Program donations are available on orders placed via mail, fax or over the telephone. The COUNTRY-CARE Code entered during online checkout will determine which specific organization receives credit for the purchases on that specific order. Users are free to specify a different COUNTRY-CARE Code on each separate order placed on the CountrySupply.com site but only one COUNTRY-CARE Code can be specified on a single order. No COUNTRY CARE Program donation amount will be credited for items added to orders placed through the TackAuction.com website.

The Donation Amount will be 5% of the product purchase price on orders placed online through the Countrysupply.com website (excluding dewormers, shipping, handling or taxes). This amount will be directed to the Organization if the Users who purchase this product online enters a valid COUNTRY-CARE Code during checkout, pays for the product with a valid credit card and do not subsequently return the product for credit (thereby creating "a Qualifying Purchase").

Country Supply reserves the right to invalidate any accumulated Donation Amounts related to a specific COUNTRY-CARE Code if Users are manipulating the system in any way that might cause Country Supply to not receive the full benefit of the purchases made using the COUNTRY-CARE Program. Some examples of such situations might be if:

1. Users purchase products and then cancel the order or return the products but still attempt to have their Organization receive the corresponding Donation Amounts for these canceled or returned products; or
2. Users are initially credited with earning a Donation Amount for a Organization by purchasing products which are shown as being in stock but which are ultimately determined to be out of stock and for which Country Supply never bills the Users' credit card.

STEP 3) EARNING A DONATION CHECK

To earn a Donation Check for Your Organization using the COUNTRY-CARE Program, the third step is for a sufficient number of Qualifying Purchases to be made such that the sum of all Donation Amounts during a given period exceeds $50.00 (US Dollars). PetsUnited, LLC is solely responsible for the tracking and accounting of the accumulated Fundraising Amounts for each COUNTRY-CARE Code. Country Supply reserves the right to change the Fundraising Threshold at any time.

Thirty days following the end of each month, a Donation Check equal to the accumulated Fundraising Amount up to the end of the previous month will be issued to any Organization whose accumulated Fundraising Amount exceeds the $50.00 Fundraising Threshold. Once this check has been issued, the Donation Check Amount will be subtracted from the accumulated Fundraising Amount and the donation accumulation and check distribution process will continue for as long as the COUNTRY-CARE Code is being used on a regular basis or until Country Supply chooses to end the COUNTRY-CARE Program entirely or to terminate that specific COUNTRY-CARE Code.

COUNTRY-CARE PROGRAM CODE INACTIVITY AND ABANDONMENT

A COUNTRY-CARE Code will be considered "Inactive" 365 days after its last use during the checkout of a Qualifying Purchase. If a COUNTRY-CARE Code is unused for 365 days and becomes Inactive, no further Donation Amounts will be accumulated for the Participating Organization and any accumulated Fundraising Amounts related to this Abandoned COUNTRY-CARE Code will be forfeited or, at Country Supply’s sole discretion, become the property of PetsUnited, LLC and/or assigned to a currently active COUNTRY-CARE Program Participant of Country Supply’s choosing. Country Supply will send the COUNTRY-CARE Code Creator up to three reminder e-mails (60 days, 30 days and 1 day before the COUNTRY-CARE Code becomes Inactive) to encourage someone to make another Qualifying Purchase using that COUNTRY-CARE Code.

COUNTRY-CARE PROGRAM CODE DELETION OR TERMINATION

The COUNTRY-CARE Code Creator has the ability to delete a COUNTRY-CARE Code. Deletion of a COUNTRY-CARE Code will prevent additional use of the COUNTRY-CARE Code during the Checkout process. Any accumulated Fundraising Amounts related to a Deleted COUNTRY-CARE Code will be forfeited or, at Country Supply’s sole discretion, become the property of PetsUnited, LLC and/or assigned to a currently active COUNTRY-CARE Program Participant of Country Supply’s choosing.

County Supply reserves the right to refuse the use of this service to anyone for any reason. This may involve Country Supply terminating an active COUNTRY-CARE Code and/or barring an individual or entity from creating and/or using the COUNTRY-CARE Program. Any accumulated Fundraising Amounts related to a Terminated COUNTRY-CARE Code will be forfeited or, at Country Supply’s sole discretion, become the property of PetsUnited, LLC and/or assigned to a currently active COUNTRY-CARE Program Participant of Country Supply’s choosing.

INTELLECTUAL PROPERTY

All content on the CountrySupply.com Site is protected by copyright.

The trademarks, logos and services marks displayed on the CountrySupply.com Site are the property of CountrySupply.com and other parties. Users are prohibited from using any Marks for any purpose without the written permission of Country Supply, Inc or such third party that may own the Marks. However, Users are authorized to publicize the CountrySupply.com website, the COUNTRY-CARE Program rules and the Participating Organization's COUNTRY-CARE Code. For example, the following phrasing is both permitted and encouraged: "Help us raise funds by shopping at CountrySupply.com. You can choose from thousands of great horse supply items at the best prices and by entering the COUNTRY-CARE Code '(insert your group’s code here)' during checkout. When you do, Country Supply will donate 5% of your product's purchase price to '(insert your group’s name here)'."

RIGHTS OF COUNTRY SUPPLY

We reserve the right to seek reimbursement from you if we receive a charge back from a User's credit card issuer for the amount of User's purchase. We may obtain such reimbursement by deducting from future payments owed to the Participating Organization, by reversing any credits to your bank account, by charging your credit card, or by seeking such reimbursement from you by any other lawful means.

We reserve the right to report any activity that we suspect violates any law or regulation to appropriate law enforcement officials, regulators, or other third parties. In order to cooperate with governmental requests, to protect our systems and customers, or to ensure the integrity and operation of our business and systems, we may access and disclose any information we consider necessary or appropriate, including, without limitation, user contact details, transaction data, IP addressing and traffic information, usage history, and posted content.

We make no express or implied warranties or representations with respect to the COUNTRY-CARE Program (including, without limitation, warranties of fitness, merchantability, noninfringement, or any implied warranties arising out of a course of performance, dealing, or trade usage). In addition, we make no representation that the operation of our site will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors.

Neither Country Supply nor its affiliates will be liable for any indirect, incidental, punitive or consequential damages, or any loss of revenue, profits or data, even if advised of the possibility of such damages. In no event shall Country Supply or any of its affiliates be liable for damages in excess of the lesser of five hundred dollars ($500) and the donation amounts related to Qualifying Purchases made by Users related to the specific disputed COUNTRY-CARE Code during the previous twelve (12) months.

RIGHTS OF USERS

User is not authorized to make any representations or warranties to a Participating Organization regarding the Donation Checks or the COUNTRY-CARE Program. The Donation Checks are issued by Country Supply and are not tax-deductible by User.

User agrees that participation in the COUNTRY-CARE Program is at the sole risk of User and that the COUNTRY-CARE Program is provided "as is" and without warranties of any kind, express, implied or otherwise, including the implied warranties of title, fitness for a particular purpose, merchantability or non-infringement

User authorizes Country Supply and its affiliates to perform all actions necessary hereunder, including without limitation, the directing of donation checks to a Participating Organization designated by User or Country Supply.

DISPUTE RESOLUTION AND OTHER LEGAL ISSUES

Any dispute relating in any way to your use of the COUNTRY-CARE Program shall be submitted to confidential arbitration in Hazleton, Pennsylvania. Arbitration under this agreement shall be conducted under the rules then prevailing of the American Arbitration Association. The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under this Agreement shall be joined to an arbitration involving any other party subject to this Agreement, whether through class arbitration proceedings or otherwise.

The laws of the United States and the state of Pennsylvania. will govern this Agreement, without reference to rules governing choice of laws. Any action relating to this Agreement must be brought in the federal or state courts located in Hazleton, Pennsylvania, and you consent irrevocably to the jurisdiction of such courts. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and be enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement. If any term of this Agreement is found to be invalid or unenforceable, all other provisions will remain in full force and effect. This Agreement and your registration for and use of the COUNTRY-CARE Program will not be construed as creating or implying any relationship of agency, franchise, partnership, or joint venture between you and Country Supply or any Country Supply affiliate.
